NEW YORK, April 17--MyPoints.com (MYPT) , which provides Internet direct marketing services, said it signed a deal to buy Cybergold (CGLD) , which develops tools that lets companies reward customers for responding to Web-based marketing, for about $157 million in stock.

Under the terms of the deal, MyPoints will trade 0.48 share of its stock for each share of Cybergold stock, bringing the total to $157 million based on MyPoints closing price of 14 15/16 on Friday on the Nasdaq stock market. Cybergold's shares closed at 5-1/2, also on Nasdaq.

ATLANTA, April 17--Internet recruiting company Headhunter.net (HHNT) said it agreed to buy competitor CareerMosiac for about $109 million in stock, creating the second largest online recruiting service.

Under the terms of the transaction, Headhunter.net will issue about 7.5 million shares for the CareerMosiac's assets. CareerMosaic is a unit of marketing communications firm Omnicom Group (OMC).< /P>

SEATTLE, April 17--Sunhawk.com (SNHK) , a Digital Rights Management (DRM) company that prepares, enhances and securely distributes proprietary digital products over the Internet, announced its intent to acquire Control Services, a U.K.-based leader in developing strategies, technology and methods for reducing infringement on the Internet. Terms of the assets for the stock transaction were not disclosed.

By acquiring CCS, Sunhawk.com will further enable content owners to (i) address Intellectual Property piracy, (ii) enhance the revenue to be recognized from the sale of their propriety digital product, and (iii) maintain the value and integrity of their Intellectual Property.

PLEASANTON, April 17--Supermarket chain Safeway (SWY) said it will invest $30 million in Dallas-based grocery e-business GroceryWorks.com. GroceryWorks will become Pleasanton, Calif.-based Safeway's exclusive online grocery channel, and Safeway will supply product to GroceryWorks.

In exchange for the capital contributions and assignment of the product purchase agreement, the Safeway subsidiary will receive preferred stock in GroceryWorks convertible into 50 percent of GroceryWorks' fully diluted common stock.

Mpower said it will issue about 1.4 million shares to St. Louis-based Primary's shareholders and will assume about $76 million in debt, bringing the total value of the deal to about $139 million.
